Legal Counsel

RIC Energy, a pioneering company in the renewable energy market with presence in four continents, is looking for a Legal Counsel, what are we are looking for?

• University degree in Law
• Extensive experience in the processing of administrative procedures for the development of renewable energy projects as well as in contracts for the acquisition of real rights over land in Italy.
• Experience in M&A transactions in Italy as well as corporate management of Italian companies.
• Very high level of English or Spanish, spoken and written, to report daily to the headquarters in Madrid, Spain.
• More than 2 years of experience
• Experience in legal advice in the negotiation of construction contracts (EPC) is highly desirable.

Responsibilities:

• Conduct and/or coordinate support and analysis on project development and EPC related issues, with a special focus on providing legal support in in obtaining permits and administrative procedures before all public bodies in Italy
• Conduct and/or coordinate legal aspects of Due Diligences of Solar PV projects, with a special focus on land contracts review and solving legal permitting implications raised by our technical DD team
• Draft/review, negotiate, and finalize relevant M&A contracts for project development/co-development
• Coordinate efforts with other internal teams including Finance, Procurement, tax, environmental, permitting, regulatory and business units
• Internal management of Italian companies owned by RIC
• Review, draft, and negotiate ancillary agreements such as MOUs, Term Sheets, LOIs, confidentiality agreements, assignment agreements, services agreements, and termination agreements
• Organize and guarantee the company’s fulfillment of contractual obligations during the term of the development, EPC and operational phases of RIC's projects
• Coordinate efforts with the legal and business teams regarding corporate and project requirements to ensure maximum value and appropriate risk management for RIC
• Identify critical project risk issues and communicate those risks to the appropriate team members for resolution and management
• Efficiently manage outside counsel with an eye toward minimizing expenses
