Commercial Software Contracts Manager

To support our commercial and state government sector teams, we are seeking a dynamic and experienced Commercial Contracts Manager. This role will be pivotal to our legal department, ensuring seamless operations across our business and legal teams.

What You'll Do: As the Commercial Contracts Manager at Submittable, you will support our legal department and commercial teams. You will work closely with business and legal teams, including the Security and Compliance Officer, outside counsel, and CFO, to review, draft, and negotiate various agreements, ensuring efficiency and risk management. This position offers a unique opportunity to develop processes, dive deep into contract data, and enhance the overall efficiency of our legal team.

Your Day-to-day & Key Responsibilities:

• Agreement Management: Review, negotiate, and draft various commercial agreements to support Submittable's product and service offerings, including SaaS agreements, master services agreements, professional services agreements, and reseller agreements.
• Legal Support: Provide comprehensive legal and operational support to our Sales and Account Management teams, collaborating with Information Security, Compliance, Engineering, Finance, and other supporting teams.
• Compliance and Risk Management: Offer end-to-end legal, commercial, regulatory, and compliance recommendations, including data protection advice on customer, partner, marketing, product, and procurement matters. Identify compliance risks in Submittable's product roadmap and provide mitigation recommendations.
• Contract Management: Perform contract management duties, including coaching and training personnel using Submittable's contract management systems and processes.
• Process Improvement: Contribute to continuously improving Submittable's legal and operational processes. Manage and enhance our contracting processes, including contract management and signature systems.
• Stakeholder Guidance: Guide stakeholders in self-serve contracting processes and directly negotiate NDAs, vendor agreements, and other agreements—partner with cross-functional teams to track ongoing obligations post-signature.
• Resource Development: Help build and maintain internal processes, resources, and tools to scale the legal function effectively.
  
  

What You Need to be Successful:

• At least 3 years of relevant experience managing the contract lifecycle, preferably at a SaaS company
• Demonstrated experience as a contracts analyst, manager, or similar role
• Experience negotiating technology transactions and complex commercial transactions, with familiarity with legal issues surrounding Cloud/SaaS product offerings and software licensing
• Strong project management skills and the ability to drive workflows from start to finish
• Knowledge and experience in data privacy laws (e.g., GDPR, CCPA) and data security compliance frameworks (e.g., SOC 2, HIPAA, ISO 27001)
• Knowledge and experience in software development
• Self-starter can work in a fast-paced, changing environment and juggle several priorities simultaneously
• Exceptional verbal and written communication skills and the ability to engage effectively with various audiences
• Experience with various legal documents and contractual agreements, including NDAs, vendor agreements, reseller agreements, and other commercial contracts
• Experience working with contract lifecycle management tools such as Ironclad
• A collaborative, low-ego approach to working across the organization and a roll-up-your-sleeves attitude to tackle projects large and small
  
  

Salary Details: The annual salary range for this position is $105,000-$145,000. Actual compensation is based on the candidate's skills, qualifications, and experience.

Position Location: This role will be in Bellevue, WA, or Missoula, MT, following a hybrid work model. Employees are expected to be willing to work from one of our office locations twice a week or as needed by your team.
