Contract Administration Manager - Modesto/Dublin, CA

Job Summary

The Contracts Manager is responsible for managing the development, negotiation, and administration of contracts throughout their lifecycle. This role ensures that all contracts comply with legal and regulatory requirements and meet the organization's policies and standards. The Contracts Manager works closely with various departments to support contract negotiations, manage risks, and ensure effective and efficient contract performance. The Contracts Manager provides support for the Legal Department and contract administration process, which includes research and document preparation, review and revision, coordination, processing, tracking, and retention and ad hoc projects and requests.

The position is responsible for the administration of the Company’s contract lifecycle management software, ensuring that all contracts are processed, maintained, updated, and notated in a timely and accurate manner. The position interacts with internal and external stakeholders, requesting and providing information to ensure the contract process is administered timely and accurately.

Responsibilities

  • Contract Negotiation and Leadership:
  • Interpret and assist in negotiation of customary contractual terms and requirements; prepare, review, draft, edit, and finalize contracts using the Company’s standardized forms, contract playbook, and direction from the Company’s attorneys
  • Collaborate with internal stakeholders to ensure contracts align with business objectives
  • Prepare executive summaries of all contracts, identifying and explaining key provisions
  • Coordinate with legal counsel to address any legal issues related to contracts
  • Continuously evaluate and improve contract management processes and tools
  • Implement new technologies and systems to enhance efficiency and accuracy in contract management
  • Contract Administration:
  • Administer and manage the Company’s contract lifecycle management software, which requires editing, drafting, reporting, and maintaining version control of contracts, contract templates, agreements, letters, emails, and other related correspondence
  • Review and track key contract requirements, terms, and special provisions; monitors contract expiration, renewal, and notice dates
  • Review of vendor/supplier set up requests, including supplier set ups in Company’s Repositrak system
  • Prepare and coordinate documents for signature; maintain company authorized signatory list and certificates
  • Ensure that all contracts comply with relevant best practices and organizational policies, including Save Mart's Contracts Playbook
  • Perform basic legal research; retrieve, organize and copy documents; maintain complete and accurate files for department
  • Monitor contract performance to ensure compliance with terms and conditions and manage contract modifications
  • Risk Management and Dispute Resolution:
  • Manage and resolve any disputes or issues regarding fundamental items that arise during the contract lifecycle
  • Work with legal counsel as necessary to address contract-related disputes
  • Identify potential risks associated with contract terms and develop strategies to mitigate them
  • Communication and Training:
  • Respond promptly and appropriately to inquiries from internal clients regarding internal processes and procedures, contract provisions, the status of a contract in negotiation, and documentation relating to contracts
  • Serve as the primary point of contact for contract-related inquiries from external stakeholders.
  • Prepare notices and other communications to contract counterparties
  • Facilitate effective communication and coordination between departments to ensure smooth contract execution and management.
  • Provide training and support to staff on contract management processes and best practices
  • Perform other duties as assigned

Hiring pay range: $81,386.00 - 91,562.00

Knowledge, Skills & Abilities

  • Strong understanding of contract law and legal terminology
  • Proficient in reviewing and interpreting customary contractual provisions
  • Deep familiarity with contract documents, types and lifecycle
  • Ability to manage multiple contracts and projects simultaneously
  • Knowledge of administrative and clerical procedures and systems
  • Organized, detail-oriented, and process-driven
  • Excellent proofreading and formatting skills
  • Capable of quick turnaround on deliverables, ability to re-adjust priorities
  • Interest in learning new skills and assisting colleagues
  • Excellent organizational and time management skills.
  • Strong analytical and problem-solving skills
  • Demonstrated negotiation skills.
  • Strong communication skills – to include writing and editing skills
  • Proficiency in contract management software
  • Advanced knowledge of Word and Excel

Preferred

  • Paralegal background
  • In-house Legal Department background
  • Retail background

Experience: 5 years directly related experience

Education: 4 year/Bachelors Degree and/or equivalent experience/training
