Job Overview:

We are seeking a talented Corporate Associate with three to seven years’ experience in mergers and acquisitions to join our M&A Group in New York. This is an exciting opportunity to work with a leading team on high-profile transactions, including public and private company deals and takeover defense matters, across a broad spectrum of industries.

Key Responsibilities:

• Represent clients in mergers and acquisitions, including public and private company transactions.
• Provide legal advice and support on takeover defense matters, including shareholder activism.
• Collaborate with a diverse team of attorneys to deliver top-tier legal solutions to clients.
• Manage multiple transactions and ensure timely and effective client communication.
• Conduct due diligence, draft transaction documents, and negotiate deal terms.

Qualifications:

• Juris Doctor (JD) from a top-tier law school.
• Admission to the New York State Bar.
• 3-7 years of substantive M&A experience at a large law firm.
• Strong knowledge of corporate law and governance.
• Excellent analytical, drafting, and negotiation skills.
• Ability to work effectively in a fast-paced, collaborative environment.
• Strong organizational skills and attention to detail.
• Exceptional written and verbal communication skills.
