In-House Paralegal

Responsibilities

  • Support M&A and other business transactions, including data room organization, due diligence, document preparation, and closing procedures.
  • Draft and review legal documents related to business transactions, contracts, and corporate policies.
  • Manage "blue sky" and Form ADV filings for securities offerings.
  • Oversee investment fund maintenance, including compliance filings and investor communications.
  • Aid in corporate governance activities, maintain records, and prepare for board meetings.
  • Handle filing and upkeep of corporate and LLC documentation, including annual reports and formation documents.
  • Undertake legal research on business law, securities regulations, and compliance standards.
  • Liaise with clients, external counsel, and professionals on transactional and fund closing activities, ensuring smooth communication and deadline management.
  • Keep abreast of changes in relevant laws and assist in updating practices accordingly.
  • Work collaboratively across the organization to ensure legal compliance and achieve client goals.

Experience

  • A Bachelor’s degree or relevant experience, with a preference for paralegal certification.
  • A minimum of 4 years in a business paralegal role within a law firm or corporate legal department.
  • Proficient knowledge of business law, transactions, corporate governance, and securities legislation.
  • Exceptional organizational and detail-oriented skills, capable of multitasking and meeting tight deadlines.
  • Strong research and writing abilities, familiar with legal databases and tools.
  • Effective communication skills for professional interaction with stakeholders.
  • Independent and team-oriented work ethic.
  • Proficient in Microsoft Office and accustomed to EDGAR and FINRA filings.
  • Awareness of the Corporate Transparency Act is a plus.
