Summary of Role:

The GHJ Transaction Advisory Services (TAS) team provides a challenging, rewarding and entrepreneurial opportunity for individuals to improve their skill set and career trajectory while advising companies across numerous industries through their transaction process.

You will be responsible for:

  • With the support of the engagement team, lead buy-side and sell-side financial due diligence engagements with privately held companies and their owners/operators, alongside investment bankers, private equity firms and strategic corporate buyers.
  • Lead management meetings and discussions with buyer/seller advisors, with support from associates, senior managers and partners.
  • Guide clients through the diligence process, including working with associates to prepare discussion agenda, supporting schedules including trend analysis, fluctuations, potential adjustments and core areas of interest.
  • Advise clients on EBITDA adjustments and business considerations, and prepare schedules to assist in driving value, negotiations and transaction process.
  • Identify critical accounting areas for a given transaction, and conduct relevant procedures to validate or adjust if needed.
  • Review operating and financial metrics, prepare analysis of relevant metrics including graphs, charts and associated commentary.
  • Prepare Quality of Earnings reports including commentary on business background, accounting function and processes, business performance and investor insights.
  • Comment on balance sheet key items, working capital drivers and fluctuations, debt and debt-like items analyses.
  • Advise clients on purchase agreement construct, definitions, and associated accounting items.
  • Assist with other transaction related accounting such as closing estimates, post-closing calculations, and other similar items
  • Manage client projects, workloads and deliverables across numerous engagements, communicating priority items and status internally and externally.
  • Oversee associates and provide guidance on approach, data needs, areas of focus and develop technical knowledge and client service skills of the junior team.
  • Leverage technology to improve efficiency and insight, and assist in identifying new technologies and/or areas to drive efficiencies.
  • Be vocal in internal discussions as it relates to areas for growth and development, new ideas, process improvements, etc
  • Will travel occasionally, subject to individual, firm and client considerations, including to Los Angeles headquarters and/or client locations.


What we need from you:

  • Bachelor’s level education required.
  • Minimum 4 years direct Transaction Advisory experience
  • Strong accounting and diligence knowledge.
  • Exceptional analytical and communication (written and oral) skills required.
  • CPA preferred but not required.
  • High proficiency in Excel and PowerPoint, including experience working with and reconciling trial balances, and experience with pivot tables, lookup formulas, index/match formulas, etc. and writing up details of companies operations, performance drivers and trends
  • Experience with working on multiple engagements, and ability to prioritize and/or adjust priorities to accommodate and adopt to changes, as necessary
  • Demonstrates up-to-date knowledge of technical principles, theory and practice, and an ability to apply these appropriately in the context of a transaction and specifically Quality of Earnings projects.
  • Applies knowledge of the client’s industry when scoping and completing assignments, including questioning clients and holding discussions with investment bankers and prospective investors.
  • Identifies and resolves a wide variety of technical problems, by distilling the data, considering client specifics and applying reasonable and best practices to reach conclusions.
  • Demonstrates ability to apply learnings from one transaction to the next, implementing new skills and techniques
  • Has the ability to generate workable new ideas and creative solutions. Proven ability to use research skills to solve newly encountered problems.

GHJ complies with all local/state regulations in regards to displaying salary ranges. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. Any offered salary is determined based on internal equity, internal salary ranges, market data, ranges, applicant's skills and prior relevant experience, certain degrees and certifications (e.g. JD, technology), for example. At GHJ, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $130,000 - $175,000.
