Law firm mergers have been on an upwards trajectory in recent years. A common gripe after merger is that the cultural fit isn't right. This is manifested in fractured relationships. In my former corporate life I have been involved in two big mergers. Firstly, at Procter & Gamble when Tambrands was acquired, and later at Shell Global with the purchase of Equilon Enterprises. What did I learn and how might legal or accounting practices apply these lessons? 🖇 Due dilligence should examine cultural fit as well as financial analysis. 🗣 A similar effort should be put into internal communication as external. 🆕 Create a new identity to avoid the 'us' and 'them' mentality. I have seen this roll on for years in some merged UK law firms (and schools!). 👩🏫 Launch new training initiatives to create a common approach to non-technical best practice, e.g., in business development, people, and finance. 👨💻 Have one system for IT and operations. 💔 Managed bruised egos sensitively. Delighted to share that I just completed Herbert Smith Freehills International Mergers Job Simulation program on Forage. In the simulation I performed the following tasks: ●Completed a job simulation advising a hypothetical buyer on an acquisition ●Drafted the letter of intent for the new deal ●Performed due diligence and provided recommended next steps on key issues and risks  ●Incorporated client feedback into the share purchase agreement

The SEC is investigating ADM's historical accounting related to the acquisition of Neovia. It really emphasizes how crucial careful accounting is during mergers and acquisitions. Plus, there's more! During the course “International Company Law”, within my Master’s in “International Business Law: Digital Innovation in Commerce and Finance” at Tilburg University, Professor Dr. Joseph A. McCahery tasked us with conducting a detailed analysis of the highly anticipated merger between ExxonMobil Corporation and Pioneer Natural Resources, which is considered to be the biggest merger of 2023! We need to do better in Canada-only three of the 51 Chambers ranked Canadian M&A lawyers are women. Congratulations to Patricia Olasker , Karrin Powys-Lybbe and Franziska Ruf who are ranked. In my report for a group of top U.S. law and PE firms of leading mid career and superstar young Canadian M&A lawyer women, I had nine women. I know two of them have already have been retained by US firms that had not previously worked with ( or known of) them. The U.S. has far more top recognized women M&A lawyers. Check the list of some of them listed in the Mergers Link attachment. We can and must do better. Forty years after Jean Fraser and Linda Robinson were pioneers at Blakes, surely many more than 6% of our top M&A lawyers are women. I know they are. I’m happy to be introducing more of them to US law and PE firms. Let’s do that together.
