📈🎯🤝Ensuring alignment of vision and values🤝🎯📈 Conducting due diligence on potential investors is not just a step in the fundraising process for startups; it's a crucial strategy for ensuring long-term success and alignment. ➡️Why is it important to run a Due Diligence of potential investors❓ First and foremost, due diligence allows startups to verify whether a potential investor's vision and values align with their own. A misalignment here can lead to conflicts down the road, especially when making strategic decisions. Startups must look beyond the capital, evaluating an investor's track record, investment thesis, and the strategic value they bring to the table. Understanding an investor's approach to scaling businesses, their involvement level and their exit strategies is essential for a harmonious partnership. But that's not the complete list of reasons. Today one Founder informed that they have got a Term Sheet for $350k (HealthTech Company) from a VC Fund but they don’t know about the Fund’s Follow-on strategy. They asked if the VCs don’t do the follow-on investment, then will it be a problem? Every VC Fund has its own investment strategies. Some VCs are there who want to invest in only one round whereas others VCs invest in multiple rounds. Point to note: When considering an investment from a Fund it’s important to assess how their investment strategy aligns with your future capital raising plan. Suppose you plan to raise $10 million in the next round and the current investors are able to put in $2.5 million then 25% of your next fundraising is done already. In the next round, the new investors will look for signals of whether the company is attractive or not. And one of the strong indicators is the level of capital commitment from the current investors (referred to as follow-on investment). If current investors do not use their pro-rata rights (due to inability or lack of funds), it raises concerns that may make it difficult to raise further capital. That’s why it is very important to inquire about potential investors' intentions in this aspect. 2nd Part: Want to know whether your startup is ready for venture capital or not? I have prepared a document: https://lnkd.in/di42tRXW that includes: 1. Power Law in Venture Capital 2. $10 mn VC Fund- Startup Evaluation Process (Mathematical Exercise) 3. $100 mn VC Fund- Startup Evaluation Process (Mathematical Exercise) 4. Sector-wise Revenue Multiple 7. Checklist to assess the VC potential of your Start-up That’s it for today.
