We were discussing our recent Annual General Meeting here at our office today and we realized that we still feel all warm and fuzzy about it. Traditionally, AGMs tend to lean towards the dull side of things, and honestly, we might have been guilty of that in the past, too. However, this year, we decided to shake things up a bit. Being a publicly listed company, the official part of AGM has a lot of regulation and stuff we’re legally bound to run through. So we decided to amend it with a more freeform part after the official errands. We wanted to give our shareholders more perspective on how our field is evolving and what our take on it is, and of course, spend an evening with our fellow owners, both big and small. The official part went down without a hitch, as we had help from Katja Häkkinen from Dottir Attorneys handling all the ins and outs of the formalities and acting as the chairperson of the meeting. Still, our AGM wasn't just about us talking about ourselves. For the informal part, we invited guest speakers, like Frans-Mikael Rostedt from Inderes, who shared insights on investment profiles and market trends affecting companies like ours. Additionally, our new board member, Nina Nissilä, shed light on the Chief Digital Officers’ expectations from IT service providers. And, of course, to contrast the earlier CEO review in the official part, our own Harri Sieppi gave a more informal version of how we got here. Campfire stories of the journey, one could say. 2023 was an exceptional year – even for an industry that is used to exceptional circumstances. It was quite a ride, and now we’re going forward again, better prepared than ever. That is what happened. That’s not the most important thing. The most important aspect was the vibe. We got together, had pizza and drinks. It didn’t feel like going through the legal motions in a corporate environment, driving investor relations. It was an evening with friends, talking about what unites us, our company. This is not even our final AGM form. We will evolve this concept and hopefully next year, we’ll do this all over again, yet even bigger, even more relaxed and in the spirit of us gathering around the campfire, telling stories.

Today, our article “Sustainability as a stumbling block in closing acquisitions? The joint effect of target and acquirer ESG performance on time to completion” was published in Finance Research Letters (Impact Factor = 10.4, SJR = Q1/2.23, VHB = B). Special thanks for the excellent cooperation to the co-authors Friedrich Sommer, Tim Heubeck and Prof. Dr. Reinhard Meckl for the implementation of the project. Sustainability is currently a major concern in business and society. As environmental, social, and governance (ESG) aspects are also considered in acquisitions, e.g., through time-consuming ESG due diligences, we investigate whether differences in ESG performance delay the closing of acquisitions. Using a sample of global M&A transactions, we measure ESG performance using the Refinitiv Eikon ESG scores and time to completion (TTC) as the number of days between the announcement and closing of a transaction.   Our results show: ⚫ Larger ESG differences between acquirer and target speed up M&A closing. ⚫ This effect only occurs when acquirer exceeds target ESG performance. ⚫ Higher target ESG performance leads to longer time to completion. ⚫ The effects are driven by the environmental pillar. Here’s some context and visibility to my friend and NIRI Orange County fellow Board member, Oliver Moravcevic’s posting about our upcoming event Friday the 29th:   We all recognize within NIRI, the Association for Investor Relations, that members derive most of their affiliation benefits via local chapters like ours. It’s often said that “all politics is local” but I think it’s true of all professional interactions. The positive response from May’s inaugural NIRI SoCal-Nasdaq co-hosted conference among 109 attendees and sponsors confirmed this.  IR professionals coming together to inform and exchange with other local IR professionals met the moment.   NIRI Orange County is further strengthening in 2023/24 its commitment to original event programing that meets the needs of local Investor Relations professionals.
