I absolutely love barbeque. Nothing is better than getting the smoker fired up and enjoying some good whiskey with friends while that delicious meat cooks low and slow. There are a lot of reasons that I could pontificate on for what makes barbeque so awesome. But my favorite is that not only does everyone have their own style, but every cook is different than the last time. This is very similar to how we put deals together. Every dealmaker has their own style that they lean towards, but each transaction is unique. Just like barbeque, there is some science to the process of structuring a deal, but there is some art to it as well. The interesting thing is the number of “experts” that you come across that treat acquisitions as if there is an exact formula. They have rigid rules like “asset transactions are always preferable” or “post-closing payments are risky” or “everyone does cash-free, debt-free deals.” There are circumstances in which these “rules” are applicable. There are also circumstances where these rules are laughable. It’s akin to having a toolbox full of every tool imaginable, but you only use the hammer for every job. As dealmakers, we can’t look at every transaction in a vacuum. We need to look at the objectives of the parties and the business being transferred, and then use all the tools at our disposal to create the best deal structure. This should also be a lesson for anyone looking to hire an expert. Suppose when you talk to them, they are spouting hard-fast rules about what is “market” for your deal instead of listening to the parties' goals, how the business operates, and the key elements of this specific transaction. In that case, they might not be the expert they hold themselves out to be. In his book The Soul of the Deal, Marc Morgenstern compares the deal process to how a jam band (like the Grateful Dead) plays music. You need to be able to play the same song, but sometimes, you need to play it differently based on the audience you are playing for that night. So, like barbeque and the Grateful Dead, avoid rigid rules in your dealmaking.

A 2008 Hickory Daily Record article asked this question, and then VP of Business Development, Josh Higgins had the answer: “Never say no.” Diversification through product expansion, he noted, was the key to our success. Though shoelaces are an essential part of our operation, we had to expand to take us to where we were then, and are now. "We try to never say no when an opportunity arises, we just jump on it,” Higgins said. Shoe care products, components for lanyards, pet leashes and collars, baggage flags, draw cords on apparel, and even truck interior trim were all listed as products we made at the time that contributed to our continued success. “The company manufactures or supplies about 10,000 different finished products,” the article states, 75% of which were made right in our Hickory, NC factory. Another sales soiree for The Perk team is in the books! 👏 This week, we focused on our next step of our sales process which is a Discovery Meeting (or Disco Meeting as we like to call it 🪩)! This the first time that we are meeting with people & we are really focused on building trust, forming a connection & starting (or building) the relationship.
