I'd venture to guess that many physicians (and other healthcare professionals) are unaware of the specifics within their employment contracts. Since most of us want to help patients, we often jump at the next big opportunity or join the most esteemed institution that gives us an opportunity. Sometimes there is a belief that terms are set in stone and not open for negotiation. We need to think beyond just salary and geographic non-competes though. So many details can and do affect our personal and professional lives. From my work at Andwise, I hear the frustrations of a lot of physicians. Here are some real-life examples from my peers from recent years: 1. A surgeon exits a private practice, and the contract failed to clarify who is responsible for covering the cost of tail malpractice insurance. Ultimately, the surgeon and the practice agree to share the $35,000 (!) expense for the tail coverage. 2. A doctor formally announces their intention to resign (moving to another town), adhering to the 90-day notice requirement outlined in their contract. They are then informed that they are ineligible to use any remaining paid time off (PTO) or continuing medical education (CME) funds, citing 'company policy.' 3. Hospitalists who typically work day shifts are suddenly required to cover night shifts without additional compensation because their employer is unwilling to hire locum tenens staff to fill in for nocturnist shortages. 4. Doctors find themselves obligated to provide backup call coverage on weekends & holidays without any compensation, unless they are actually called in. This expectation is not mentioned in their contracts but is framed as 'helping out the team.' These few examples highlight the importance of thoroughly understanding and negotiating employment contracts to avoid unforeseen obligations and expenses. Unfortunately when stuff goes wrong, many people hesitate to seek legal representation, fearing potential repercussions or preferring to avoid conflict. altogether. Instead of challenging unfair practices or terms, they remain silent and simply transition to their next employer. This reticence is detrimental on a collective level, as it diminishes the bargaining power of healthcare professionals. Without a willingness to legally contest questionable contractual terms, employers continue to act with impunity, confident in their ability to impose one-sided conditions without pushback. This cycle not only affects individual physicians but also undermines the broader medical community's ability to negotiate fair employment terms.

Mount Sinai Health System in New York City faces a National Labor Relations Board (NLRB) complaint over noncompete clauses in part-time physicians' contracts. The complaint, filed on June 18, challenges the no-poaching and confidentiality clauses that restrict part-time physicians from recruiting or soliciting hospital employees or contractors for one year post-termination. Allegedly, these clauses violate the National Labor Relations Act by coercing employees. Mount Sinai must respond by July 16, with a hearing set for September 24. This issue arises amid the Federal Trade Commission's (FTC) recent vote to indefinitely ban noncompetes, a decision currently contested in federal court. FTC Chair Lina Khan argues that noncompetes suppress wages, stifle innovation, and hinder economic growth. The first half of 2024 saw a 7% rise in unfair labor practice charges filed with the NLRB, totaling 10,278 compared to 9,612 in 2023. Mount Sinai has not commented on the complaint.
