Interpath has signed a business transfer agreement for the acquisition of the restructuring business of KPMG in France. This transaction is expected to close in the autumn of 2024. This agreement will considerably strengthen our corporate restructuring advisory activities in France, supporting companies in difficulty and their stakeholders. Two reasons why due diligence in joint ventures may not be adequate.... 1) It isn't formally undertaken. I have witnessed management of many companies sidestep the normal corporate development process because the deal is going to remain "below the radar" in published results 2) It is undertaken with a standard M&A scope and no specialist advice or input. Informed early advice can repay itself tenfold, especially if undertaken before any contracts are signed. I have uncovered many a costly assumption which could have undermined the business case if not discovered pre- or during DD and tackled upfront in negotiation.
