All websites, webpages, and mobile applications (collectively the “VETS Indexes Portal”) linking to these Terms of Use (“Terms of Use”) are owned and operated by VETS Indexes LLC (“VETS Indexes”). By accessing the VETS Indexes Portal you accept and agree to be bound by the terms, conditions, and notices contained herein. You acknowledge and agree that you shall not create, sponsor or permit the trading of financial instruments, ratings or investment products (including, without limitation, derivatives, structured products, investment funds, exchange-traded funds or derivatives based on exchange-traded funds (e.g., options on ETFs or futures on ETFs)) where the rating, price, return and/or performance of such instrument or product is based on, related to, or intended to track, any element or index published by any of VETS Indexes’ suppliers or financial instrument or investment product (e.g., an exchange-traded fund) linked to an index published by any VETS Indexes supplier, without a separate written agreement with the applicable VETS Indexes supplier for such purpose.
You agree that your use of the VETS Indexes Portal is subject to the following limitations:
You agree not to distribute in any medium any part of the VETS Indexes Portal without our prior written consent.
You agree not to alter or modify any portion of the VETS Indexes Portal.
You agree not to copy, reproduce, distribute, display portions of, or link to the VETS Indexes Portal contained hereon for public or commercial purposes without our prior express written consent (including, but not limited to, the sale of advertising on the VETS Indexes Portal, or the use of the VETS Indexes Portal to generate advertising, data or subscription revenue, or the use of the VETS Indexes Portal to promote other websites or the services of other persons).
You agree to use the VETS Indexes Portal only for lawful, personal, and informational purposes, and you agree that you will not use the VETS Indexes Portal in any manner which violates any applicable local, state, national, or international law, or the intellectual property or proprietary rights of any third party.

Except as otherwise permitted herein, you may not reproduce, distribute, modify, copy, publish, display, transmit, adapt, upload, create derivative works of, post, or in any way exploit the VETS Indexes Portal in any manner or for any purpose.

The VETS Indexes Portal and all VETS Indexes Materials, content, information, or data available on the VETS Indexes Portal (collectively, the “Content”) contained thereon is protected by United States copyright, trade secret, and trademark laws, as well as other state, national, and international laws and regulations, and is owned or controlled by, or licensed to, VETS Indexes or the party listed as the provider of the applicable Content. VETS Indexes owns the copyright in the VETS Indexes Portal as a collective work and/or compilation, any and all databases accessible on the VETS Indexes Portal, and in the selection, coordination, arrangement, and enhancement of the Content on the VETS Indexes Portal. VETS Indexes reserves all rights not expressly granted in and to the VETS Indexes Portal and the Content on behalf of itself or its licensors. Any data, communication, feedback or material you transmit to the VETS Indexes Portal, such as questions, comments, suggestions or the like, will be owned by VETS Indexes.
Software on the VETS Indexes Portal (if any) that is made available to download or use (“Software”) is owned by VETS Indexes and/or its suppliers. Your use of the Software is governed by the terms of the end user license agreement, if any, which accompanies or is included with the Software (“License Agreement”). You may not install or use any Software that is accompanied by or includes a License Agreement unless you first agree to the License Agreement terms. Please note that all Software, including without limitation all source code, is owned by VETS Indexes and/or its suppliers and is protected by copyright laws and international treaty provisions. Any reproduction or redistribution of the Software is expressly prohibited, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible. WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCTION OF THE SOFTWARE TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED. THE SOFTWARE IS WARRANTED, IF AT ALL, ONLY ACCORDING TO THE TERMS OF THE LICENSE AGREEMENT. You acknowledge that the Software, and any accompanying documentation and/or technical information, is subject to applicable export control laws and regulations of the USA. You agree not to export or re-export the Software, directly or indirectly, to any countries that are subject to USA export restrictions.
DMCA POLICY
We will respond to claims of copyright infringement, and will promptly process and investigate notices of alleged infringement by third-parties and will take appropriate actions under the Digital Millennium Copyright Act (“DMCA”), Title 17, United States Code, Section 512(c)(2), where applicable. In keeping with the DMCA, notifications of claimed copyright infringement by third parties should be sent to VETS Indexes’ designated agent (the “Designated Agent”). If you believe that your copyrighted work has been infringed under U.S. copyright law and is accessible on the VETS Indexes Portal, please notify us by contacting the Designated Agent.

INDEMNIFICATION; WAIVER OF CERTAIN ACTIONS
You will indemnify, defend and hold harmless VETS Indexes and its affiliates, directors, officers, agents, employees, successors, assigns (“VETS Indexes Indemnitees”) from and against any and all losses, liabilities, damages, costs (including reasonable attorneys’ fees) and expenses arising as a result of any claims, suits or proceedings (collectively, “Claims”) brought by any third party against any VETS Indexes Indemnitees arising from your use of the VETS Indexes Portal and/or Content.
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, YOU HEREBY WAIVE YOUR RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN ANY CLASS ACTION SUIT AGAINST VETS INDEXES IN CONNECTION WITH YOUR USE OF VETS INDEXES PORTAL INCLUDING WITH RESPECT TO ANY CLAIMS UNDER THE AMERICANS WITH DISABILITIES ACT.

You hereby consent to the exclusive jurisdiction and venue of courts in New York County, NY, U.S.A. in all disputes arising out of or relating to these Terms of Use and the VETS Indexes Portal. Use of the VETS Indexes Portal is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph.
