❗ New: A federal judge's blockbuster ruling in the SEC's case against SolarWinds tosses the regulator's claims about the accuracy of its post-hack disclosures, but leaves intact a claim about the security statement on the company's website that misrepresents its access controls and password protection policies. "Critically, the [SEC's complaint] pleads that, after SolarWinds went public, it did not resolve its access controls problems, or withdraw, repudiate, or modify the Security Statement's bogus claims on this point," Judge Paul Engelmayer wrote. "In essence, the [s]tatement held out SolarWinds as having sophisticated cybersecurity controls in place and as heeding industry best practices. In reality, based on the pleadings, the company fell way short of even basic requirements of corporate cyber health." He found the security statement, though likely intended as a sales pitch, was misleading to investors, and ruled that the case could proceed on that front. Engelmayer also found that the SEC "easily" pleads that chief security officer Tim Brown knew about and authorized the statement. ✨ While SolarWinds scored a major victory today, it's little comfort to executives concerned about personal liability. But it goes without saying that CISOs, chief privacy officers and other executives should make sure to review any statements for misrepresentations. "The concerns about personal liability for executives are still very much alive," Ropes & Gray LLP partner Ed McNicholas told me. He advised that statements made on websites by CISOs, CPOs, "and other folks who talk about privacy and security are properly considered statements to investors and need to be reviewed by counsel."
